Terms of Service

All Products sold by VESPER are research chemicals intended exclusively for in vitro laboratory research use. Products are not intended, approved, or labeled for human or veterinary consumption, clinical application, diagnostic use, or any other use involving administration to humans or animals. By purchasing, you affirm that:

• you are at least 18 years of age;
• you are a qualified researcher, lab professional, or institutional purchaser;
• Products will be used solely for in vitro research;
• you will not resell, transfer, or distribute Products to anyone for non-research purposes;
• you accept full responsibility for handling, storage, and use of Products in accordance with applicable laws and good laboratory practices.

VESPER makes no representation, warranty, or claim that any Product is safe or effective for any therapeutic, diagnostic, or medical purpose. Products are not approved by the U.S. Food and Drug Administration or any equivalent regulatory authority for such uses.

You must create an account to place orders. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may refuse or terminate any account at our discretion, including where we determine the account or order does not meet research-use criteria.

You are responsible for ensuring that the import, possession, and use of any Product is lawful in your jurisdiction. We do not ship to jurisdictions where the underlying compound is regulated as a controlled substance, prescription drug, or otherwise prohibited. Orders to restricted jurisdictions will be cancelled and refunded.

All prices are listed in U.S. dollars. Pricing, availability, and specifications may change at any time without notice. Placing an order is an offer to buy; we reserve the right to refuse or cancel any order. Payment is processed at the time of order confirmation by our PCI-compliant payment processor.

Shipping terms and timelines are described in our Shipping Policy. Title and risk of loss pass to you upon delivery to the carrier.

See our Refund Policy for batch-failure replacement and return procedures. Once a tamper-evident seal has been broken, Products may not be returned.

The VESPER name, logo, brand assets, site design, and all content on the Site are owned by VESPER Research and protected under intellectual property laws. You may not copy, reproduce, or distribute any portion of the Site without prior written consent.

PRODUCTS ARE PROVIDED "AS IS" FOR RESEARCH USE ONLY, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT EXPRESSLY STATED IN THE CERTIFICATE OF ANALYSIS PROVIDED WITH EACH BATCH. USE OF PRODUCTS IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold VESPER harmless from any claim, loss, or damage arising out of your use of any Product, your violation of these Terms, or your violation of any law or regulation.

These Terms are governed by the laws of the State of [TO BE DETERMINED BY COUNSEL]. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in [TO BE DETERMINED]. You waive any right to a jury trial and to participate in a class action.

We may modify these Terms at any time. The modified Terms become effective when posted. Your continued use of the Site after the effective date constitutes acceptance of the modified Terms.
